3.2 You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other security breach.

3.3 All personal data that we may use will be collected, processed and held in accordance with the provisions of UK Data Protection Law and in accordance with the terms of our Privacy Policy which you have accepted as part of accessing the Service.

Our Service provides AI-powered tools designed for construction industry professionals, including but not limited to:

– Automated generation of project briefs, risk registers, schedule Gantt charts, cost plans and a wide range of other project documentation
– Construction contract and schedule review and analysis
– AI assistant interaction with your uploaded project documentation
– Project Cash Flow projections and management

4.2 Target Users

Our Service is designed for construction industry professionals, including project managers, consultants, client-side project teams, developers and other construction professionals and is not suitable for use by consumers.

5. Subscription and Payments

5.1 Subscription Plans

We offer tiered subscription plans aimed individual professional project managers, small-to-medium enterprise project management firms, and client organisations. Details of our current subscription plans are available on our website.

5.2 Payment Terms

You agree to pay all fees associated with your subscription plan. Payments are processed through secure third-party payment processors. Fees are non-refundable except as expressly stated in these Terms or as required by law.

5.3 Subscription Changes and Cancellation

You may change or cancel your subscription at any time through your account settings. Changes or cancellations will take effect at the end of your current billing cycle unless otherwise specified.

6. AI Services and Content Disclaimers

6.1 AI-Generated Content Accuracy and Limitations

**IMPORTANT:** AI-Generated Content provided by our Service is for informational and planning purposes only. You acknowledge and understand that:

AI systems may generate content that appears accurate but contains factual errors, outdated information, or complete fabrications (“hallucinations”)
AI-Generated Content may include made-up data, statistics, costs, timelines, regulations, or technical specifications that do not reflect reality
AI outputs are based on training data that may be incomplete, biased, or outdated
The AI system does not have access to real-time information, current market rates, or specific project conditions
AI-generated cost estimates, schedules, and risk assessments may be entirely incorrect or inappropriate for your specific project
The AI may confidently present information that is completely false or misleading

In the circumstances, you are responsible for checking the accuracy and suitability for your use of all AI generated content provided as part of the Service and we shall have no liability whatsoever for any such AI generated content.

6.2 Professional Responsibility and Verification Requirements

You acknowledge and agree that:
All AI-Generated Content, which is all content produced on the platform, must be thoroughly reviewed, fact-checked, and validated by qualified professionals before use
AI outputs are not a substitute for professional engineering, architectural, legal, financial, or safety advice
You must independently verify all data, calculations, specifications, regulations, and recommendations provided by the AI
You are solely responsible for ensuring the accuracy, completeness, and suitability of AI-Generated Content for your specific projects
Construction projects involve complex technical, legal, and safety considerations that require human expertise and judgment
No construction, procurement, or safety decisions should be made based solely on AI-Generated Content
You must conduct appropriate due diligence, professional consultation, and regulatory compliance review for all project decisions
No part of the Service, including any contract reviewer or chat feature outputs, comprises the giving or supply of legal advice or constitutes legal accuracy and you should where necessary take independent legal advice where you intend to use any part of the Service in legal relationships.

6.3 Construction Industry Risks

You understand that construction projects involve inherent risks, and that AI-Generated Content does not eliminate or reduce these risks. You are responsible for conducting appropriate due diligence, safety assessments, and professional review of all project-related decisions.

7. User Content and Data

7.1 Your Content and Data

You retain all rights to your User Content and project data. By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and process your User Content solely for the purpose of operating and providing the Service to you.

7.2 Data Security and Privacy

We implement appropriate technical and organisational measures to protect your data. However, you acknowledge that no method of transmission or storage is 100% secure. Details about our data handling practices are outlined in our Privacy Policy.

7.3 Content Restrictions

You agree not to upload, transmit, or share User Content that:
Infringes any third party’s intellectual property rights
Violates any law or regulation
Contains confidential information you do not have permission to share
Is harmful, abusive, defamatory, or invasive of another’s privacy
Contains software viruses or any other code designed to harm computer systems
Violates construction industry regulations or safety standards

8. Intellectual Property

8.1 Our Intellectual Property

The Service and its original content, features, copyright and functionality are owned by the Company and are protected by copyright, and other intellectual property laws and nothing in these Terms or your use of the Service grants you any rights of licence or ownership in the Service save as referred to in clause 7.1.

8.2 AI-Generated Content Ownership

AI-Generated Content created through the Service is provided to you for your use, subject to these Terms. You may use AI-Generated Content for your construction projects, but you acknowledge that such content is generated by AI systems and may not be eligible for copyright protection.

8.3 Restrictions on use

You may not copy, change, translate, modify, reverse engineer, decompile or disassemble any part of the Service nor assign, sell or sub-licence the same.

9. Limitation of Liability and Warranties

9.1 Service Disclaimer

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
Loss of profits, data, use, goodwill, or other intangible losses
Loss of sales, business or revenue
Business interruption
Construction project delays, cost overruns, or failures
Damages resulting from reliance on AI-Generated Content
Any damages arising from construction project decisions based on Service outputs

9.3 Maximum Liability

Subject to clause 9.2, our total liability to you for all claims arising from or related to the Service shall not in any event exceed the total amount of subscription fees you have paid to us for the Service.

10. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, losses, liabilities, costs, and expenses arising from:
Your use of the Service
Your violation of these Terms
Your construction projects and related decisions
Any negligent or wrongful conduct by you or your agents

11. Termination

11.1 Termination by You

You may terminate your account at any time by cancelling your subscription through your account settings.

11.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms or engage in conduct that we determine is harmful to other users or our business.

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your account and User Content, though we may retain certain information as required by law or for legitimate business purposes.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on the Service and updating the “Last Updated” date. For significant changes, we may also notify you via email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of England and Wales.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
